Terms of Service

These Terms of Service ("Terms") are an agreement between you ("Customer", "you") and Zappila ("Zappila", "we", "us"), the operator of the Zappila website and software service (the "Service"). By creating a workspace, starting a trial or paying for a plan you accept these Terms.

1. The Service

Zappila is hosted software for running an affiliate network or partner program: offer and partner management, click and conversion tracking, reports, fraud controls, payouts files and invoices. Each customer gets a private workspace with its own database and its own web address (for example yourname.zappila.com), and can connect its own domain.

2. Your account

• You must be at least 18 years old and able to enter a binding contract, or act for a business that can.
• Give correct details and keep your password and two-factor codes safe. You are responsible for everything done through your workspace logins, including by your staff, advertisers and affiliates.
• Tell us at once at [email protected] if you think someone has accessed your account without permission.

3. Free trial

A trial lasts 14 days and needs no payment card. When the trial ends your workspace is paused, not deleted, and switches back on as soon as you choose a plan. We may delete a workspace that stays unpaid for a long time after the trial; we will warn you by email first.

4. Plans, limits and payment

• Plans set monthly clicks and conversions and the number of offers, affiliates, advertisers, employees and domains. Current limits and prices are on our pricing page.
• Plans are prepaid for a month or a year. You pay online through our payment partner (currently Razorpay, which supports UPI, cards, netbanking and wallets) or, where we offer it, by UPI or bank transfer. Your plan starts or renews when we receive the payment.
• Prices are shown before tax. Goods and Services Tax (GST) and other taxes that apply are added where required, and we issue a tax invoice for every payment.
• Before a paid period ends we send reminders with a payment link. If a renewal is not paid we give a short grace period, then the workspace is suspended until payment is received. Your data is kept during suspension.
• If you pass your plan limits we warn you at 80% and 100%; tracking continues for a small grace margin and then stops until you upgrade.
• We may change prices for future periods with at least 30 days' notice. A price change never affects a period you have already paid for.

5. Cancellation and refunds

You can stop renewing at any time and keep using the workspace until the paid period ends. Refunds are described in our Refund Policy.

6. Your data

You own the data you and your users put into your workspace ("Customer Data"), including offers, partner details, clicks and conversions. You give us permission to host, process and back it up only to run the Service for you. Each workspace is kept in a separate database. Our Privacy Policy and Data Processing Terms explain how we handle personal data. You can export your data from the workspace at any time, and on request after you leave.

You are the one who decides what personal data of your affiliates, advertisers and visitors you collect, and you are responsible for having a lawful basis, notices and consents for it.

7. Acceptable use

You must follow our Acceptable Use Policy. In short: no illegal offers, no fraud, no abuse of the platform. We can suspend a workspace that breaks it, and we will tell you why unless the law forbids it.

8. Tracking is your responsibility

Zappila records the clicks, postbacks and conversions it receives. We do not control the offers, advertisers, affiliates or traffic you run, and we are not a party to the deals between you and your partners. You are responsible for the accuracy of your offers, payouts and the payments you make to your partners, and for the tax on them.

9. Availability and support

We work to keep the Service running and tracking fast, but we do not promise it will be uninterrupted or error free. We announce planned downtime in advance where we can. Support is by email at [email protected] and through the help desk in your workspace.

10. Our rights

The software, design, name Zappila, logo and documentation belong to us or our licensors. You get a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing. You may not copy, resell, reverse engineer or build a competing service from it.

11. Suspension and ending

You can close your workspace at any time from the workspace settings. We may suspend or end the Service for unpaid fees, serious or repeated breach of these Terms, or legal reasons. After a workspace is closed we keep its data for a limited period so you can ask for an export, and then delete it.

12. Liability

To the extent the law allows, the Service is provided "as is". We are not liable for indirect or consequential loss, lost profit, lost revenue or lost data, or for losses caused by your partners, by traffic you buy, or by events outside our control. Our total liability for any claim is limited to the amount you paid us for the Service in the 3 months before the event that gave rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

13. Changes

We may update these Terms. We will post the new version here and, for material changes, email the workspace owner at least 15 days before they apply. Continuing to use the Service after that means you accept them.

14. Governing law and disputes

These Terms are governed by the laws of India. We will first try to settle any dispute by talking to you in good faith. If that fails, the courts at the city in India where our registered office is located have exclusive jurisdiction, subject to any mandatory rights you have under Indian law.
